Software License and Subscription Agreement v2026-09-28

This Software License and Subscription Agreement (the "Agreement") is entered into between ITH Collections LLC, doing business as ZeroTouch ("Licensor"), and the person or entity identified in the order form ("Licensee"). By typing their name and accepting electronically, Licensee agrees to be bound by this Agreement. 1. THE SOFTWARE. ZeroTouch HedgeFund, ZeroTouch Momentum and ZeroTouch Master (the "Software") are desktop applications that run on Licensee's own computer and connect to Licensee's own brokerage account through the broker's application programming interface. The Software executes pre-defined, rules-based trading strategies that are identical for every licensee and are publicly described at zerotouchbots.com. The Software is not customized to Licensee's financial situation, objectives or risk tolerance. 2. LICENSE GRANT. Subject to payment of the fees, Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to install and use the Software on one (1) computer, for Licensee's own brokerage account(s), during the subscription term. Each installation code is valid for one computer at a time; Licensor may transfer it to a new computer upon request. 3. LICENSEE CONTROL. Licensee alone decides whether to use the Software, which strategies and portfolios to enable, which securities to include, how much capital to allocate, the caps, and when to pause or stop the Software. Licensee keeps full control of the brokerage account at all times and may cancel orders or close positions directly with the broker. Licensor never receives, stores or uses Licensee's brokerage credentials, never has access to Licensee's funds and does not place orders on Licensee's behalf. 4. NO INVESTMENT ADVICE. Licensor is not a broker-dealer or an investment adviser and does not provide investment, legal, tax or accounting advice. Nothing in the Software, the website, emails or support constitutes a recommendation to buy or sell any security or to use any strategy. Support is limited to technical matters (installation, configuration, connectivity and software errors). 5. FEES. The subscription fee (monthly or annual) and any one-time onboarding fee are stated in the order form and invoice. Fees are fixed and are not based on the value, performance or profits of Licensee's account. Fees are payable in advance by bank wire transfer or Zelle to the account indicated on the invoice. Except as required by law, fees are non-refundable, including in case of trading losses. 6. TERM, RENEWAL AND SUSPENSION. The subscription starts on the date the installation code is issued and lasts for the purchased period. A renewal invoice is sent before the end of each period. If payment is not received by the end of the period plus a grace period of seven (7) days, the Software enters a paused state in which it does not open new positions; it continues to display existing positions. Licensee remains responsible for managing any open positions directly with the broker. 7. UPDATES AND DATA. The Software may download signed updates and sends to Licensor's server the installed version, a masked account identifier, account and portfolio values, positions and notifications, solely to operate the service (licensing, notifications, updates and support). Licensor does not sell this data. 8. INTELLECTUAL PROPERTY. The Software, strategies, documentation and website are the property of Licensor. Licensee shall not copy, distribute, sublicense, rent, reverse engineer, decompile or attempt to extract the source code of the Software, nor share installation codes. 9. RISK ACKNOWLEDGEMENT. Licensee has read and accepted the Risk Disclosure Statement, which is part of this Agreement. Trading options involves substantial risk and Licensee may lose all capital allocated. Past or hypothetical (backtested) performance does not guarantee future results. 10. DISCLAIMER OF WARRANTIES. THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED, OR THAT IT WILL PRODUCE ANY PARTICULAR RESULT. 11. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY TRADING LOSSES, LOST PROFITS OR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING THOSE CAUSED BY SOFTWARE ERRORS, CONNECTIVITY FAILURES, BROKER OR MARKET-DATA OUTAGES, OR ORDER EXECUTION. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY LICENSEE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. 12. INDEMNIFICATION. Licensee shall indemnify and hold Licensor harmless from claims arising from Licensee's use of the Software, trading decisions or breach of this Agreement. 13. TERMINATION. Either party may terminate at the end of the current period by not renewing. Licensor may terminate immediately for breach, including sharing codes or non-payment. 14. GOVERNING LAW. This Agreement is governed by the laws of the State of Florida, USA. Any dispute shall be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida. 15. ELECTRONIC SIGNATURE. The parties agree that electronic acceptance of this Agreement constitutes a valid signature under the U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN) and applicable state law. This Agreement, the Risk Disclosure Statement and, if purchased, the Support Services Agreement constitute the entire agreement between the parties. El Licenciante no es broker ni asesor de inversiones y no da asesoramiento de inversión, legal, impositivo ni contable. El soporte es solo técnico. 5. CARGOS. La suscripción (mensual o anual) y el alta asistida figuran en el formulario y la factura. Son fijos y no dependen del valor, rendimiento o ganancias de la cuenta. Se pagan por adelantado por transferencia bancaria o Zelle. Salvo que la ley disponga lo contrario, no son reembolsables, incluso ante pérdidas. 6. PLAZO, RENOVACIÓN Y SUSPENSIÓN. La suscripción empieza al emitirse el código. Antes de cada vencimiento se envía la factura de renovación. Si no se paga al vencimiento más 7 días de gracia, el Software entra en pausa: no abre posiciones nuevas y sigue mostrando las existentes. El Licenciatario es responsable de gestionar sus posiciones abiertas directamente con el broker. 7. ACTUALIZACIONES Y DATOS. El Software descarga actualizaciones firmadas y envía al servidor la versión, un identificador de cuenta enmascarado, valores de cuenta y carteras, posiciones y avisos, solo para operar el servicio. No se venden estos datos. 8. PROPIEDAD INTELECTUAL. Prohibido copiar, distribuir, sublicenciar, alquilar, descompilar o intentar extraer el código fuente, y compartir códigos. 9. RIESGO. El Licenciatario leyó y aceptó la Declaración de Riesgos, que forma parte de este Contrato. 10. SIN GARANTÍAS. El Software se entrega "tal cual", sin garantías de ningún tipo ni de resultado. 11. LIMITACIÓN DE RESPONSABILIDAD. El Licenciante no responde por pérdidas de trading, lucro cesante ni daños indirectos, incluidos errores de software, fallas de conexión, del broker o de datos de mercado. Please read this statement carefully. By accepting it, you confirm that you understand and accept the following risks. 1. OPTIONS RISK. Options are leveraged instruments. Buying calls, including long-dated calls (LEAPS) and short-dated out-of-the-money calls, can result in the loss of 100% of the premium paid. Out-of-the-money options frequently expire worthless. Prices of options can change rapidly and are affected by the underlying price, time to expiration, volatility and interest rates. 2. CONCENTRATION. The strategies may concentrate capital in a small number of technology stocks or in a single stock chosen by you. Concentration increases volatility and the risk of large losses. 3. AUTOMATED TRADING RISK. The Software places orders automatically. Orders may be delayed, partially filled, filled at unfavorable prices or not executed due to software errors, internet or power failures, computer shutdowns, broker or API outages, market-data problems, trading halts, or other causes outside Licensor's control. Options that finish in the money may be exercised and result in stock positions that require available cash. You are responsible for monitoring your account. 4. HYPOTHETICAL PERFORMANCE. Backtested and simulated results shown on the website or elsewhere are hypothetical. They were obtained by applying the strategy rules retroactively to historical data, with the benefit of hindsight, and do not represent actual trading. They do not reflect all the effects of liquidity, slippage, commissions, taxes and the impact of real execution. No representation is made that any account will or is likely to achieve profits or losses similar to those shown. Past performance, real or hypothetical, is not indicative of future results. 5. SUITABILITY. You alone are responsible for determining whether options trading and the strategies are suitable for you, considering your financial situation, experience and objectives. Only use capital you can afford to lose entirely. 6. NO ADVICE, NO REGISTRATION. Licensor is not registered as an investment adviser, commodity trading advisor or broker-dealer, does not manage your account and does not provide personalized advice. 7. TAXES AND COSTS. Frequent trading generates commissions, fees and tax consequences that are your responsibility. Broker market-data subscriptions required by the Software are paid by you directly to the broker.

Support and Onboarding Services Agreement v2026-09-28

This agreement applies when Licensee purchases assisted onboarding or support hours from ITH Collections LLC (ZeroTouch). 1. ASSISTED ONBOARDING (one-time fee). A remote session to install the Software, install and configure the broker's gateway, verify that Licensee's broker account has the market-data subscriptions and API settings required, enter the installation code and create Licensee's first portfolios according to Licensee's instructions. 2. SUPPORT HOURS. Technical support is billed at US$250 per hour, sold in prepaid blocks of two (2) hours, consumed in 15-minute increments and valid for twelve (12) months. It covers installation, configuration, connectivity, updates, diagnosis and correction of software errors. 3. SCOPE LIMITS. Support is exclusively technical. Licensor will not recommend securities, strategies, capital amounts or trades, and will not operate Licensee's brokerage account. Any configuration performed during a session follows Licensee's explicit instructions. 4. REMOTE SESSIONS. Licensee authorizes remote-screen sessions only when Licensee starts them and remains present. Licensee shall not share brokerage passwords; if a login is required, Licensee types it. 5. SCHEDULING. Sessions are scheduled by email to contacto@zerotouchbots.com on business days. Response time is best-effort, normally within one business day. Errors in the Software reported by Licensee are corrected in updates at no charge. 6. FEES. Fees are paid in advance and are non-refundable once the session has started. The Software License and Subscription Agreement, including its limitation of liability, applies to these services.

Hypothetical results are identified as such. 2. DATA WE COLLECT. Order and billing data you provide (name, email, phone, address, country, company), electronic-signature records (name typed, date, IP address, browser, document versions), payment records, and the operational data sent by the Software described in the License Agreement. 3. USE. To deliver the Software and installation codes, invoicing, license management, notifications requested by you, updates, support, security, and legal compliance. 4. SHARING.
